PRESERVING SCHOOL DISTRICT ASSETS

Assisted school district in purchasing underutilized regional 30-acre shopping center through nonprofit foundation financing structure. The Foundation issued tax-exempt bonds, guaranteed by a 30-year lease from the school district, which purchased the land and facilities.

Over the last 20 years, the shopping center site has been converted into an education complex that generates substantial revenues for the school district.

LITIGATION

Represented software companies that utilize financial data to provide credit worthiness of personal applicants. Software companies and their owners were involved in four different lawsuits, three of which were in Southern California, with third party business partners over rights to technology and claims of lost revenue from licensing of technology. With clients facing potential claims of $7 million dollars in damage, we successfully settled the main case two days into trial and reached a global settlement of all pending cases with the software company and retention of intellectual property rights.

REAL ESTATE

Represented college in acquisition of neighboring properties for future development and developing three story dormitory apartment complete with retail facilities and handling lease of land, construction and management, and partnership agreements with third party that constructed dormitory and retail facility.

TAX-EXEMPT ORGANIZATIONS

Served as legal counsel and represented a national food store chain in merging employee associations in seven southwestern states and converting corporate status into uniform corporations for IRS purposes.

INVESTIGATIONS & LABOR

Undertook an eighteen-month investigation of school testing practices in one of the largest school districts in California based on allegations of test discrepancies reported by State Department of Education. Prepared a confidential report which resulted in statewide changes to testing programs and reform within the school district.
